1. Scope of Service
Elemnt Web agrees to provide professional website design, hosting, maintenance, and ongoing support ("Services") as described in the selected plan.
2. Fees and Payments
The Client agrees to pay the amount specified in the chosen plan (monthly or annual). Payments are securely processed through Stripe or other approved methods. Services begin once the first payment has been successfully completed.
3. Promotions and Discounts
Any promotional pricing or discount will be reflected on the invoice or payment record. Unless otherwise stated, all other terms of this Agreement remain valid.
4. Duration and Renewal
This Agreement begins on the date of the first payment and automatically renews monthly unless canceled in writing by the Client at least 14 days before the next billing date.
5. Client Responsibilities
The Client agrees to provide all necessary materials, content, and access required for the project. Delays in providing such materials may extend delivery timelines.
6. Intellectual Property
Upon full payment, the Client retains ownership of the content and media they provide. Elemnt Web retains ownership of its internal frameworks, software integrations, and development tools.
6A. Website Ownership and Continued Service
- All websites provided by Elemnt Web are developed and maintained under a Website-as-a-Service (WaaS) model.
- After six (6) consecutive months of full payments, the Client gains ownership rights to the website design and content created specifically for them.
- Elemnt Web will continue to provide hosting, maintenance, updates, and technical support as part of the ongoing subscription.
- If the Client chooses to cancel the subscription after ownership transfer, Elemnt Web will deliver the final website files upon request. Once the files are transferred, Elemnt Web will no longer be responsible for hosting, security, or updates.
7. Termination
Either party may terminate this Agreement with written notice. Prepaid periods will remain active until their expiration. No refunds are issued for partially used periods.
8. Liability Limitation
Elemnt Web shall not be liable for indirect, incidental, or consequential damages. The total liability of Elemnt Web shall not exceed the total amount paid by the Client during the three (3) months preceding the event giving rise to the claim.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Elemnt Web operates remotely from San Diego, California, USA & Granada, Spain.
10. Amendments
Elemnt Web may update or modify these Terms from time to time. Any changes will be published on our website at elemntweb.com/legal, and we may also notify clients by email when significant updates are made. Continued use of our services after any update constitutes acceptance of the revised Terms.
11. Acceptance
By completing payment or using Elemnt Web's services, the Client confirms that they have read, understood, and agreed to these Terms and Conditions.
